Cleveland Model Boat Club
CONSTITUTION
I. Name and Aims
1. The name of the organization shall be called the “CLEVELAND MODEL BOAT CLUB”, hereinafter called the CMBC.
2. The aims of the CMBC are; to foster the hobby of model boating whether it be radio controlled or static boats; to aid the modeler in the development of his or her models; to promote running opportunities and to display model boating to the public.
II. Officers
1. Officers shall consist of:
a. President.
b. Vice-President.
c. Secretary.
d. Treasurer.
e. Director of Power (gas-powered boats).
f. Director of Scale and Static (electric, or steam power for operational models).
g. Director of Sail (principally wind powered).
h. Director of Fast Electric.
III. Duties of Officers
1. PRESIDENT
a. Shall preside at all general meetings and the executive council.
b. Shall announce all business.
c. Shall preside and maintain order.
d. Shall be informed on all communications.
e. Shall enforce rules of decorum and discipline.
f. Shall put all motions to a vote and give the results.
g. Shall give signature when necessary.
h. Shall sign all CMBC checks in the absence of the Treasurer.
i. Shall be a voting member of the executive council.
j. Shall perform such other duties as are prescribed by the By-Laws.
2. VICE PRESIDENT
a. Shall preside and perform the duties of the President in his absence.
b. Shall sign all CMBC checks in the absence of the Treasurer and President.
c. Shall be a voting member of the executive council.
d. Shall be responsible for all club property and or the whereabouts thereof.
e. Shall be in charge of public relations.
f. Shall perform such other duties as prescribed by the By-Laws.
3. SECRETARY
a. Shall preside over the general meeting in the absence of the President and Vice-President.
b. Shall be a voting member of the executive council.
c. Shall have and furnish a current list of addresses of all officers, executive council members and general membership.
d. Shall notify all members of meetings.
e. Shall conduct club correspondence as required.
f. Shall read important correspondence at meetings.
g. Shall keep the minutes at the general meeting and executive council meeting.
h. Shall take roll call and mark absentees at all meetings.
i. Shall read the minutes of the previous meetings.
j. Shall take charge of the documents of the CMBC.
k. Shall perform such other duties as are prescribed by the By-Laws.
4. TREASURER
a. Shall receive and bank all moneys due the CMBC.
b. Shall keep bookkeeping records of such funds.
c. Shall pay whenever possible by check.
d. Shall pay bills only when clearly authorized and when receipts for expenditures are attached.
e. Shall give a monthly statement of finances.
f. Shall give a complete financial report annually at the November meeting.
g. Shall collect and keep a record of all dues paid by members.
h. Shall be responsible for all raffle prizes.
i. Shall be a voting member of the executive council.
j. Shall perform such other duties as are prescribed by the By-Laws.
5. DIRECTORS
a. Shall be a voting member of the executive council.
b. Shall develop projects, races, regattas, policies, personnel, and shall be responsible to carry out the activities of their assigned division of the CMBC.
c. Shall have the authority to assign work assignments to any CMBC member.
d. Shall be responsible for all promotions of events of their assigned division.
e. Shall have authority to cancel any regatta or race at the pond site and the responsibility to remain 30 minutes at the pond site after normal start time. Decision to cancel a regatta or race during same shall be made by the director or assistant contest director during a race as conditions dictate.
f. Shall set fees for events.
IV. Qualifications for Membership
1. There shall be no discrimination in regards to race, color, creed or sex.
2. All new prospective members will be considered for acceptance after filling out an application and questionnaire for membership. A majority affirmative vote of the members present at a regular club meeting is required at which time dues and or initiation fees are payable immediately if accepted.
3. New members are not required to be present at the meeting but are invited.
4. Adult members must join the appropriate National Sanctioning Group for their models.
a. International Model Power Boating Association for power boats.
b. Scale Ship Modelers Association for scale boats.
c. American Model Yachting Association for sailboats.
V. Meetings and Events
1. Shall be set by February 1 for the coming year by the executive council, according to the requirement of events and shall be posted by the Secretary.
2. Shall be at least four (4) regularly scheduled executive council meetings each year in addition to regular meetings.
VI. Executive Council
1. Shall be chaired by the President of the CMBC.
2. Shall consist of the President, Vice President, Secretary, Treasurer and Directors, all to be voting members.
3. Shall hold and announce quarterly meetings to the general membership or at the call of the President or upon the request of two members thereof.
4. Two-thirds (2/3) of its members shall constitute a quorum.
5. Shall set an agenda for the general membership meetings.
6. Shall enforce the Constitution, By-Laws, rules and the wishes of the membership.
7. Shall act upon all questions brought before it and act in the best interest of the CMBC and its members.
8. Shall investigate and justification for disciplinary action against a member and bring its findings to the membership.
9. Once each five years the executive council will appoint a committee to review the Constitution and By-Laws.
VII. Dissolution
1. All properties of CMBC in the event of dissolution of the club, shall be sold and the proceeds donated to charity.
VIII. Amendments to the Constitution
1. Previous notice shall include:
a. Reading and discussion of the proposed amendment at one (1) general meeting prior to any action.
b. The full text of the proposed amendment must then be published in the CMBC newsletter.
2. At the next general meeting a vote will be taken on the proposed amendment.
